Daniel J. Gershman, Esq. is a Senior-level Associate in FRB’s Corporate & Securities, Digital Assets, Labor & Employment, and Cannabis & Psychedelics Practice Groups.
Leveraging a practice that sits at the intersection of cutting-edge technology, highly regulated industries, and traditional corporate law, Daniel serves as trusted outside counsel to founders, growth-stage companies, investors, and multi-state operators.
Daniel’s corporate and commercial work spans the full life-cycle of an enterprise from entity formation and capitalization through exit. He routinely drafts and negotiates formation and governing documents, agreements related to financings, and legacy and succession planning agreements. His transactional experience includes representing buyers and sellers in equity and asset acquisitions, mergers, and joint ventures. Because these matters often implicate parallel disciplines, Daniel is fluent in the real-estate, intellectual-property, and tax considerations that must be harmonized to close a deal efficiently and compliantly.
In the rapidly evolving AI and data-privacy space, Daniel counsels clients on the full spectrum of data privacy compliance and risk mitigation. He drafts bespoke privacy policies, terms of use, data-processing agreements, and cross-border transfer mechanisms that align with the CCPA/CPRA, the GDPR, and the emerging privacy regimes of other state jurisdictions. He structures ownership and investment vehicles to comply with state residency, social-equity, and financial-disclosure requirements; prepares and negotiates service, management, and equity purchase agreements tailored to cannabis operations.
